These Terms of Use ("Terms") govern your access to and use of TNB Skin Retail, a product of KEYNETAI LIMITED t/a TNB Skin Retail, an Irish company. By accessing or using our services, you acknowledge that you have read, understood, and agree to these Terms.

Acceptance of the Terms

By accessing, connecting to, or using the Services in any manner, you confirm that you have read and understand these Terms and our Privacy Policy at https://www.tnbskinretail.com/privacy-policy, and that you agree to be legally bound by them and to comply with all applicable laws governing your use of the Services. These Terms form a binding agreement between KEYNETAI LIMITED t/a TNB Skin Retail ("we", "us", "our") and you. If you do not agree, you must not access or use the Services.

By proceeding, you represent and warrant that: (i) all information you submit through the Services is true, accurate, current, and complete; (ii) you are 18 years of age or older; (iii) you have the legal right and all necessary permissions to provide any content you submit; and (iv) you will not use the Services as a source of medical or professional advice, or to make medical decisions.

Services Overview

TNB Skin Retail provides a white-label SaaS platform enabling skincare brands, retailers, and clinics to deploy AI-driven customer experiences. Our platform includes the Shopify AI Sales Assistant (chat-based product guidance and recommendations) and optional AI Skin Analysis (scan-based context for personalization). While we provide the underlying software, each clinic / retailer is the administrator (data controller) of its own instance and is responsible for compliance with data protection laws, including GDPR.

If you are a customer or website visitor using a clinic / retailer's chat assistant or scan experience, your personal data is controlled by that clinic / retailer. To exercise your data rights or to request deletion, contact the clinic / retailer directly. For platform-level queries only, email hello@tnbskinretail.com.

Minimum Age

You must be at least 18 years old to use our Services. We may request proof of age and suspend access where we reasonably believe the 18+ requirement is not met.

Registration

Some features may request limited information (e.g., a message, contact details, or an optional photo for analysis). You must ensure any information you provide is accurate and that you have the legal right to share it (for example, it is your information or you have the subject's consent).

User Responsibilities

By using the Services, you agree:

• To provide accurate, lawful content and not submit personal data about others without their explicit consent.
• To understand that all outputs are informational, not medical advice or guarantees.
• To follow any usage instructions, warnings, or notices displayed in the clinic / retailer's interface.

What You Cannot Do

You may not:

• Misrepresent outputs or responses as guaranteed or typical medical outcomes.
• Use outputs to self-diagnose, decide on treatment, or as a substitute for professional consultation.
• Reverse engineer, extract, mine, or otherwise attempt to derive the models, datasets, or source code.
• Deploy automated scripts, bots, scrapers, or load/performance tools against the platform or any clinic / retailer instance. Any such activity is strictly prohibited and may result in immediate suspension and legal action.
• Use outputs or responses to replicate, train, or improve any competing product or service.
• Interfere with, circumvent, or test the security or rate-limits of the platform.
• No Redistributing Outputs. You may not sell, sublicense, or systematically redistribute outputs generated by the Services.

Accuracy and Use of Output (Medical/Outcome Disclaimer)

AI chat responses and skin analysis outputs are informational only and may be imprecise, incomplete, or unsuitable. They:

• Do not predict, represent, or guarantee any final treatment results and must not be used to determine or compare final results from aesthetic treatments.
• Do not constitute medical advice, diagnosis, or treatment planning.
• Vary based on the information you provide and the inherent limitations of AI models.

Not a Medical Device. The Services and any outputs are not intended for diagnosis, treatment, or prevention of disease and are not a medical device under applicable law. The Services are provided solely for general informational purposes.

Important: No clinician-patient relationship is formed through your use of the chat assistant or scan tools. Always seek in-person advice from a qualified professional before making treatment decisions.

Data Use and GDPR

• Role allocation: The clinic / retailer is the data controller for visitors/patients. KEYNETAI LIMITED t/a TNB Skin Retail acts as a data processor providing hosting and processing under the clinic / retailer's instructions.
• Your rights: Exercise GDPR rights (access, deletion, objection, etc.) via the clinic / retailer. We may retain minimal platform logs for security, fraud prevention, and service integrity (processor-legitimate interests), which are not used for identification or marketing to you.
• Aggregated/Anonymous Data. We may create and use aggregated or de-identified data derived from platform telemetry (e.g., performance metrics, availability, non-identifying usage patterns) for security, reliability, and service improvement. Such data will not identify any individual and is not used to market to you.
• Chat content: Messages are processed solely to provide the Services and are not used to identify individuals.
• Facial data: Images (where scan is enabled) are processed solely to enable the analysis experience and are not used for facial identification.
• Deletion: Clinics / retailers have tools to delete your data. Requests must be directed to the clinic / retailer you interacted with.

Your Content; Limited License

You retain all rights in content you submit (e.g., messages or images). You grant the clinic / retailer you interact with, and KEYNETAI LIMITED t/a TNB Skin Retail acting on the clinic / retailer's instructions, a limited, non-exclusive license to host, process, and display such content solely to provide the Services to you and the clinic / retailer. We do not sell your content.

Email Communications

If you provide an email to the clinic / retailer (e.g., to receive follow-up information or booking links), you consent to the clinic / retailer contacting you for that purpose. Manage/unsubscribe with the clinic / retailer directly.

Intellectual Property

All software, models, UIs, workflows, documentation, and related intellectual property are owned by KEYNETAI LIMITED t/a TNB Skin Retail or its licensors. You receive only a limited, revocable, personal license to interact with outputs for non-commercial, personal use.

Third-Party Components

The Services may include third-party and open-source components subject to their own licenses. To the extent of any conflict between those licenses and these Terms regarding such components, the third-party licenses control for their respective components. Nothing herein deems the Services (except those components) to be open source.

Platform Availability; Safety; Beta Features

• We may conduct scheduled maintenance (typically up to 1 hour, up to twice monthly).
• We may throttle, rate-limit, or suspend access to protect service integrity.
• From time to time, you may encounter beta or experimental features. These are provided as-is and may be modified or withdrawn at any time.

Links & Access After Subscription Ends. If a clinic / retailer's subscription ends, links and embeds to the chat experience or scan tools may be disabled. We do not redirect clinic / retailer links to a generic experience or repurpose visitor data from those links.

Misuse of Platform

Any attempt to interfere with security, probe or scan systems, bypass rate-limits, or misuse the Services (including automated access) may result in immediate suspension and referral to law enforcement and/or legal proceedings under Irish law.

Evidence; Logs. You acknowledge and agree that system, security, and network logs, telemetry, and rate-limit records maintained by KEYNETAI LIMITED t/a TNB Skin Retail may be used as prima facie evidence of access, usage patterns, or violations of these Terms, including automated or scripted access.

Disclaimer of Warranties

OUR SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYNETAI LIMITED t/a TNB Skin Retail AND ITS LICENSORS DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

YOU AGREE THAT YOU WILL NOT RELY ON ANY OUTPUT AS A SOLE SOURCE OF TRUTH OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

Limitation of Liability

To the fullest extent permitted by law, KEYNETAI LIMITED t/a TNB Skin Retail will not be liable for any losses arising from your reliance on outputs or responses, or from any decisions you make regarding skincare or aesthetic treatments. Without limiting the foregoing, we are not responsible for inaccuracies that result from incomplete, inaccurate, or omitted information provided during the chat or scan.

Exclusion of Certain Damages. To the maximum extent permitted by applicable law, KEYNETAI LIMITED t/a TNB Skin Retail will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of goodwill, loss of data, business interruption, or procurement of substitute services, even if advised of the possibility of such damages. If mandatory consumer law applies and does not allow the exclusions above, they apply only to the maximum extent permitted.

Aggregate liability cap: Our total liability for any claims under these Terms shall not exceed USD $100.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless KEYNETAI LIMITED t/a TNB Skin Retail, its affiliates, and personnel from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Services or outputs; (b) your infringement of third-party rights (including submitting content without consent); or (c) your violation of these Terms.

Termination

We may suspend or terminate access (in whole or in part) if we reasonably believe you violated these Terms or threaten service integrity or security. Sections intended to survive termination (e.g., IP, disclaimers, liability limits, indemnity, governing law) will continue to apply.

Dispute Resolution

Informal Resolution. Please first email hello@tnbskinretail.com and we will attempt to resolve concerns in good faith.

Governing Law; Venue. These Terms and any dispute or claim (including non-contractual disputes or claims) are governed by the laws of the Republic of Ireland. You irrevocably submit to the exclusive jurisdiction of the courts of Ireland. This does not limit any non-waivable consumer rights under applicable law.

Notice and Action

If you believe content made available through a clinic / retailer's instance infringes your rights (including copyright, content rights, or privacy), send a detailed notice to hello@tnbskinretail.com including: (i) your contact details; (ii) identification of the content and its location/clinic / retailer; (iii) the rights you claim are infringed; (iv) a statement of good-faith belief; and (v) a statement that the information is accurate and you are authorized to act. We may forward your notice to the clinic / retailer (controller) and, acting as processor, take reasonable technical measures (including disabling access) where appropriate.

General Terms

Assignment. You may not assign these Terms. We may assign to an affiliate or successor.

Changes. For material changes affecting visitors, a notice will be posted in-product or on the hosting page at least 7 days before the effective date (or sooner where required by law). Non-material updates take effect upon posting.

Severability. If any provision is unlawful or unenforceable, the remainder remains in effect.

Trade Controls. You must comply with applicable sanctions and export controls.

Time Bar. Any claim arising out of or related to these Terms or the Services must be filed within twelve (12) months after the cause of action accrues, otherwise the claim is permanently barred, except where a longer period is mandatorily required by law.

Force Majeure. KEYNETAI LIMITED t/a TNB Skin Retail will not be liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government action, internet or telecom failures, power outages, or third-party service disruptions.

Entire Agreement. These Terms constitute the entire agreement between you and KEYNETAI LIMITED t/a TNB Skin Retail regarding your use of the Services.
